The owners of a well-established dental surgery near the north coast of Northern Ireland decided to sell the practice to a large national dental business. Their priority was securing a fair valuation, protecting ongoing clinical operations and ensuring regulatory and contractual compliance. Crucially, the sellers planned to stay on in the business post-sale under long-term associate agreements rather than retire immediately.
The transaction needed to deliver certainty for the clinicians, stability for the team and commercial protection for the sellers as they transitioned to life under a corporate operating model. Any misstep risked transmission disruption, regulatory exposure or weaker post-completion terms for the practitioners who would continue treating patients in the surgery for several years.
