Scott owned the entire shareholding of Amber Support Solutions Ltd, a window and industrial cleaning business. He ran a very successful business and between his expertise and friendly nature, his client portfolio was impressive. This attracted the attention of Bidvest Noonan, an international business group. Bidvest Noonan approached Scott with a view to it acquiring Amber Support Solutions Ltd. It did so with the intention of introducing its offering in Northern Ireland. After some deliberation, Scott agreed to the terms, which included employment as managing director of Bidvest Noonan, Northern Ireland division.
Having agreed to the terms in principle, Scott now sought legal advice before finalising the sale of his business. He contacted McCartan Turkington Breen and had the benefit of a complimentary initial consultation with Aleric Turtle. Scott instructed Aleric who advised and assisted on the legal due diligence of the process of selling a business. Aleric aided in the negotiation of the share purchase agreement and associated disclosure letter. As there was also a promise of employment as part of the terms, Aleric advised on and negotiated the employment contract.
The transaction completed within several weeks and it received much praise in the press.
Scott received payment for his shareholding and is now happily working for Bidvest Noonan in Northern Ireland.
